Ruzo Tech Website Services Agreement

Parties

Who this applies to

Provider: Ruzo Tech (trading name of Lucas Rusu, a UK sole trader) of 24 Poppyhills Road ("Ruzo Tech", "we", "us").

Client: The person or business purchasing services ("you", "Client").

Agreement: These Master Terms + your Order Summary (selected package, price, inclusions, add-ons, start date, billing) + the Schedules (A–D).

Acceptance: By clicking "I agree", signing, or paying an invoice, you accept this Agreement.

Key definitions

How we refer to services

  • Consumer: client buying mainly for personal use.
  • Business Client: client buying mainly for business purposes.
  • Promotion Page, Business Site, Complex Enterprise Site: see Schedule A.
  • Build Fee: one-time build price (Schedule A).
  • Monthly Development Package and Monthly Dev Fee: rent-to-own plan (Schedule D).
  • Cumulative Build Credit: total Monthly Dev Fees paid (excludes Care upgrades, DB add-ons, third-party costs, taxes, one-off extras).
  • Buyout Amount: max(Build Fee − Cumulative Build Credit, 0).
  • Care Plan: maintenance plan (Schedule B).
  • Database Plan: database tier (Schedule C).
  • Deliverables: website code/files and in-project assets created for your project.
  • Handover: delivery of items in Clause 9.

Scope, responsibilities, timelines, and fees

2) Scope of services

  • We deliver per your Order Summary and the Schedules.
  • Anything not listed as included is Out of Scope and quoted separately.
  • We may use third-party services; third-party fees are payable by you unless otherwise stated.

3) Client responsibilities

  • Provide content/info promptly (text, images, logos, brand guidelines, platform access, legal pages/policies).
  • You warrant rights to materials you provide and that they do not infringe third-party rights.
  • You are responsible for legality/compliance of your business and site content (claims, pricing, regulated services, cookies/privacy, marketing, accessibility).
  • Delays from missing content/feedback may extend timelines and incur charges for rework/rescheduling.

4) Timelines, revisions, and changes

  • Timelines are estimates; typical initial build is 2–4 weeks. We will inform you of complications.
  • Included revisions per Order Summary; if not stated, 2 rounds of reasonable in-scope changes.
  • Extra revisions/new features/major changes/late content causing rework are chargeable and may extend timelines.
  • We may pause work if approvals/content are not provided for 14 days and reschedule work.

5) Fees, billing, and payment

  • Fees per Order Summary; billed via Stripe.
  • Late payment: if overdue by 7 days, we may pause work and/or suspend services.
  • Fees are non-refundable once work starts unless we materially breach and do not remedy within a reasonable time.

Build models

One-time vs monthly development

6) One-Time Development

  • Pay the Build Fee plus any add-ons/extras (Schedule A).
  • Payment terms: commonly 50% upfront, 50% before launch/handover (per Order Summary).
  • We may withhold launch/Handover until all due amounts are paid.
  • If you cancel after work starts, you pay for work completed; we will provide a reasonable breakdown on request.

7) Monthly Development (rent-to-own)

  • Includes domain/hosting management while active and paid (Schedule D).
  • Build credit: only Monthly Dev Fee counts (no Care upgrades, DB add-ons, third-party costs, taxes, one-offs).
  • Cancel anytime; cancellation effective at end of current paid period unless Order Summary states otherwise.
  • On cancellation: hosting stops, domain disconnects (domain lock), and we retain site data for 1 year.
  • Handover provided per Clause 9 after outstanding invoices and any Buyout Amount are paid.

Ownership & handover

Licensing, transfer, and data

8) Ownership, licence, transfer

  • During Monthly Development: limited, non-exclusive licence while paid and in good standing.
  • Ownership transfers when either: (a) one-time build is fully paid; or (b) Monthly Dev buyout is met or Build Fee is reached via credit and you request Handover.
  • We retain our pre-existing templates, tooling, components, and know-how; use allowed only as embedded in Deliverables.

9) Handover

  • Provided within 10 business days after payment of outstanding invoices/Buyout and needed destination details.
  • Includes: repo/files and in-project assets; build/export artifacts; transferable credentials; data exports for project/customer/user data we hold.
  • Excludes: hosting environment; database environment/account; third-party paid licences/subscriptions unless in your name.
  • After Handover, hosting/database connections we control may be disabled unless you continue relevant services.

10–11) Domain, hosting, data

  • While Monthly Development is active/paid, we manage hosting and domain connection.
  • If cancelled/unpaid, we may disconnect domain and stop hosting (domain lock).
  • Domain registered by you: you keep control. If held by us, transfer after fees are paid, per registrar rules/at-cost fees.
  • After cancellation, data retained for 1 year; may be deleted after unless law requires longer. Handover exports available during retention.

Other terms

Performance, liability, termination

12–13) Support, performance, SEO

  • Response time targets are not guaranteed fix times unless stated as SLA in Order Summary.
  • We work with reasonable care and skill but do not guarantee SEO rankings, conversion, revenue, or outcomes.
  • "High performance" refers to reasonable optimisation; any measurable guarantee must be explicit in Order Summary.

14–15) Liability and termination

  • Nothing limits liability for fraud or death/personal injury caused by negligence.
  • Liability cap: greater of fees paid in 3 months before the event or £100, subject to law.
  • No indirect/consequential liability (loss of profits/goodwill) except where not permitted by law.
  • Either party may terminate for material breach not remedied within 14 days of notice.

16–17) Consumer rights and law

  • Consumer cooling-off: 14-day right to cancel if buying online, subject to legal exceptions. If you ask us to start within 14 days, you may owe proportionate costs.
  • Nothing limits mandatory consumer rights.
  • Governing law: England and Wales, with mandatory consumer protections where relevant.

Schedules

Package details

Schedule A — One-Time Development

A1) Promotion Page: Starter £300 (templated + branding); Basic £500 (custom + analytics); Advanced £600 (Basic + CRO structure + tracking events).

A2) Business Site: Starter £800 (up to 4 pages, template + branding); Advanced £1,200 (up to 6 pages, custom + analytics); Pro £3,000 (up to 8 pages + integrations + SEO/CRO structured). Add-on: £250 per extra page.

A3) Complex Enterprise Site: Basic Enterprise £4,000 (up to 15 pages, mobile, basics, SEO foundations, analytics, deployment, handover); Advanced Enterprise £6,000 (up to 25 pages, CRO, advanced SEO, CTA system, advanced integrations, high performance efforts); Super Enterprise from £10,000 (40+ pages, widgets, animation, branding/performance, advanced CRO, heavier integrations/automations, admin workflows, advanced SEO, polish, automated deployment, 3 months Ultimate Growth; scope finalised in Order Summary).

Schedule B — Care Plans (Maintenance)

Only available when bundled with a development package.

Basic Care £49/month: hosting/domain oversight, uptime checks, backups, bug fixes, basic performance checks, up to 72hr response.

CarePlus £99/month: Basic Care plus light edits monthly, priority support, regular advanced performance checks.

Ultimate Growth £149/month: CarePlus plus up to 6 hours/month advanced improvements/edits, advanced monthly SEO analysis/improvements, complete oversight/performance checks.

Unlimited Care £299/month: Everything above plus unlimited maintenance/editing, unlimited performance analysis and SEO optimisation (fair use).

Fair use for Unlimited: excludes full redesigns/rebuilds, net-new major features, large-scale content entry, or work needing new architecture—these are quoted separately.

Schedule C — Database Integration

Bundled only with development; not sold separately.

Super Starter DB £4.99/month: up to 10,000 MAU, 5GB egress, 1GB storage, 500MB DB size.

Database Standard £34.99/month: up to 50,000 MAU, 250GB egress, 100GB storage, 8GB disk, daily backups up to 7 days.

Schedule D — Monthly Development (Rent-to-own)

We store site data and provide domain/hosting while active. On cancel: hosting stops, domain lock, data retained 1 year.

Build credit: only Monthly Dev Fee counts toward Business Site Build Fee (Schedule A2).

Basic £79/month: includes Starter Business package + Basic Care. Add-ons: +£29.99/mo CarePlus; +£4.99/mo Super Starter DB; +£24.99/mo Database Standard.

Advanced £129/month: includes Advanced Business package + Basic Care + Super Starter DB. Add-ons: +£14.99/mo CarePlus; +£24.99/mo Database Standard.

Pro £199/month: includes Pro Business package + CarePlus. Add-ons: +£24.99/mo Database Standard; +£99/mo Ultimate Growth.

Buyout rule: If you cancel and request Handover before reaching the Build Fee, you pay Buyout Amount = max(Build Fee − (Monthly Dev Fee × months paid), 0). Add-ons do not count.
